Minister-president Diependaele answers written question on recommendation regarding spin-off policy in VARIO advisory report 39
The Flemish Government is monitoring international developments in spin-off policy. This was stated by Flemish Minister president Diependaele in response to a written question from Stijn De Roo (CD&V), following VARIO advisory report 39. According to Diependaele, the recommendation for the statutory anchoring of a maximum percentage of 5 to 10% of knowledge institutions in university spin-offs is not directly applicable to regulations, given that the acquisition of shares often runs parallel to a licensing agreement that may also be more or less equitable, and given that the nature of the shares (whether dilutive or not) helps determine their actual interest.
However, he considers the recently presented National IP Deal Term Principles from the Netherlands—under which universities have made joint agreements on the provision of intellectual property—to be a good practical example. “This document provides a clear picture of the aspects that need to be taken into account when determining an equity and/or royalty percentage for spin-offs, and it also contains context and definitions,” the document states. The Flemish Government will further incorporate this best practice into the planned activities for this year.
